      Please provide two (2) pieces of identification for each party, front and back, with one (or both) of those pieces of identification being a driver's license and/or a passport. If providing only one of a passport or a driver's license, the other piece of identification need not be a picture id, and cannot be a health card.

      Section 3.1 of the Business Corporations Act defines a Professional Corporation as a "a corporation incorporated or continued under this Act that holds a valid certificate of authorization or other authorizing document issued under an Act governing a profession."
      A corporation can be established with or without a name. If without a name, then it is known as a numbered company (i.e. 12345678 Ontario Inc.). If the corporation is not intended to deal with the public, it may be preferable, so as to save the time and money it would take to do a name search and register the company as a numbered company., to register as a numbered company. If you wish to hold the company out to the public as a named entity, there are two ways this could be accomplished. First, you could establish a company with a name (i.e. Bob's Flamethrowers Inc."). Second, both a named and a numbered company could register to do business under a specified name (i.e. 12345678 Ontario Inc. could register, after it has incorporated, to operate under the name "Bob's Flamethrowers". So could Bob's Flamethrowers Inc. (in this case, less the word "Inc."))
      If you intend to operate in provinces other than Ontario, Federal incorporation would be preferable. If you intend to operate internationally, you may wish to appear as a federal corporation for the sake of appearances (although there is no substantive practical difference between a federal incorporation and a provincial incorporation). If you intend to operate as a named company, as a matter of practicality, it is less difficult to obtain a name for a provincial incorporation than for a federal incorporation.
    • A corporate name generally consists of three elements: a distinctive element, a descriptive element and a legal element. The distinctive element of the name is the part of the name that makes your corporation distinctive from other corporations. The descriptive element of a corporate name is that part of the name that describes the main activities or type of business of the corporations. The legal ending indicates that the company is in fact a legal corporation and not another form of business (i.e. a partnership); and consists of one of the following words: Incorporated, Limited and Corporation, or their respective abbreviations: Inc., Ltd. and Corp. A valid corporate name must have a distinctive element and a legal ending (i.e. Madeupword Inc.). It may have all three elements (Madeupword Flamethrowers Inc.). We must search the names to see if they, or similar names, are being used by others, and thus ask for three alternatives to search, in case the first two are taken, or otherwise problematic
      The basic rule is this: If the business of the company is restricted by the articles of incorporation, then the company may engage in that business only. If the business of the company is not restricted by the articles of incorporation, then the company may engage in any business.
    • Tell Us About the Proposed Management of the Company

      You can specify the number of directors that the company must have, or authorize the company to appoint any number of directors within a range. Thus, for example, if you specify that the corporation must have 2 directors, it must always have 2 directors, no more and no less. Conversely, if you authorize you company to appoint any number of directors within a specified range, for example between 1 and 10 directors, the company may operate so long as it has any number of directors within that range. We would suggest a range of directors.
